Merchant Terms of Service

These Terms are an agreement between BrightJoy.AI LLC (“BrightJoy,” “we,” “us”) and the business using our merchant console and related services. The person accepting them must be authorized to act for that business. Our Data Processing Agreement forms part of these Terms for personal information handled on the business’s behalf.

Effective date: 2026-09-10

1. Accounts and authorized users

The service is currently offered to businesses in the United States. You must be at least 18 and able to enter an agreement for the business. Provide accurate account and business information, use a phone number you control and keep sign-in codes private. Owners manage business settings, team access, locations and subscriptions. Staff may perform the operations their access permits. You are responsible for your authorized users and for removing access when it is no longer appropriate.

Tell us promptly about unauthorized access or a lost or reassigned phone number. Do not share one sign-in account among people whose activity should be separately attributed.

2. The service and your customer obligations

The merchant console is recordkeeping and customer-service software for loyalty programs, memberships and prepaid money, visits or time. It does not hold your customers’ prepaid funds, issue bank accounts, insure balances or guarantee that a merchant will fulfill a package. Stripe processes the business’s software subscription; that is separate from money customers pay your business.

Your business is the seller and remains responsible for its prices, goods and services, receipts, refunds, taxes, customer promises and compliance with applicable gift-card, expiry, unclaimed-property and consumer laws. A date or balance displayed by the software does not make an otherwise unlawful condition enforceable. Disclose the relevant terms before a customer buys.

3. Accurate records, imports and corrections

Verify the customer, card, units and amount before recording a sale or use. Imported balances represent existing obligations, not new sales. Keep the records needed to support an import and distinguish them from payments newly received. Customer and business summaries reflect the information entered and are not audited financial statements.

Corrections and undo preserve the original history. Use them only to record an actual correction and provide accurate reasons. Keep independent records appropriate for your business and review discrepancies promptly; the service is not a substitute for accounting, tax or legal advice.

4. Customer data and communications

Only submit personal information you are authorized to process. Give customers an appropriate privacy notice and obtain permissions required for customer records, notes, referrals and messages. A phone number or purchase alone is not permission for every kind of outreach. Retain evidence of required messaging consent and respect withdrawal. Do not put full payment-card numbers, government identifiers, passwords, medical records or other data requiring specialized safeguards into notes.

Verify contact details before sending messages, especially for shared or reassigned phone numbers, and address wrong-number reports promptly. You retain rights to your business data and give us permission to process it to provide and protect the service, as described in the DPA and Privacy Policy.

5. Trials, subscriptions and recurring charges

The selected plan, billing interval, price and any trial dates are shown before you confirm payment. Trials do not charge a payment method that you have not authorized. If you complete payment setup for a trial, recurring billing begins at the disclosed trial end unless you cancel first. If you do not set up a paid subscription, operational access becomes read-only when the trial ends.

Paid subscriptions renew automatically at the confirmed interval until canceled. You authorize Stripe to collect the recurring charges and applicable taxes using your payment method. Annual billing is an annual charge; a displayed monthly equivalent is not a monthly payment schedule. Keep billing information current. Price changes for a future renewal will be disclosed in advance as required by law, with an opportunity to cancel before they take effect.

6. Plan changes and cancellation

Use Settings → Plan & billing to review the subscription and open Stripe’s hosted management pages. Upgrades take effect immediately with the proration shown before confirmation. Downgrades take effect at renewal; a scheduled plan is not the current plan. Changes during a trial retain its original end date. Confirm the effective date and any charge in the provider’s final review.

Cancel before the next renewal to stop future recurring charges. Cancellation normally takes effect at the end of the current paid period; access continues until that time. A pending plan change may need to be undone in the provider portal before cancellation is available. If the portal prevents cancellation, contact support before renewal so we can assist. Closing a shop, logging out or uninstalling the app does not cancel the subscription.

7. Refunds and payment questions

Contact hello@brightjoyai.com if you believe a subscription charge is incorrect or want to request a refund. Cancellation stops future renewal charges; it does not by itself reverse a charge already made. Refund handling remains subject to your applicable legal rights and any written offer or refund policy provided before purchase. Refunds for your customers’ prepaid cards are your business’s responsibility, separate from the software subscription.

8. Failed payments and the end of access

Past-due subscriptions normally have a seven-day recovery period from the first failed renewal invoice. Repeated payment attempts do not restart that period. Other inactive payment states, an expired trial or an ended subscription can result in read-only access. Owners can still access available billing-recovery controls.

Read-only access preserves existing records and history but blocks operations including card usage, top-ups, issuance, imports and corrections for both owners and staff. It does not cancel your obligations to customers. Subscription cancellation is not a data-deletion request; contact support about return or deletion of data. Access may also be limited when necessary for security, unlawful activity or material misuse.

9. Integrations and acceptable use

Connect only business accounts and calendars you are authorized to share. A connected calendar’s event titles and times are visible to the business’s authorized users, including staff. Third-party services have their own terms and availability. We may change or stop an integration if it becomes unavailable or unsafe.

Do not access another business’s information, bypass permissions or limits, interfere with the service, upload unlawful material, send unauthorized messages, or use the software for fraud. The service is not intended for regulated medical records or emergency use. We retain rights to our software and branding; you receive permission to use them as part of the service while complying with these Terms.

10. Text messaging

When you request a sign-in code, you authorize a verification text to that number. Card receipts and balance updates require separate permission given to the merchant. Login consent is not consent to advertising.

Message frequency depends on your activity; message and data rates may apply. Reply STOP to stop texts from the sender. This can prevent SMS sign-in; contact hello@brightjoyai.com for help. You may also reply HELP where supported. Delivery is not guaranteed, and carriers are not responsible for delayed or missing messages. Buying a merchant’s goods or services does not require marketing consent.

11. Service limitations and responsibility

We work to provide a reliable service, but do not promise uninterrupted operation, error-free records or a particular business outcome. To the extent permitted by law, the service is provided as available without implied warranties. This does not exclude a warranty or right that the law does not allow us to exclude.

Each party remains responsible for its own unlawful acts and breaches of this agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded, or removes customers’ rights against a merchant.

12. Changes and contact

We may update these Terms, with notice of material changes and a new effective date. Where the law requires affirmative agreement, continued use alone will not replace it. Changes do not retroactively alter a merchant’s promises to its customers. If you do not accept a future change, you may stop using the service and cancel renewal, subject to charges already properly incurred.
